This is the standard license supplied with Shadow Detective, a product of CL Henschel LLC, doing business as Henschel Technologies, of Dover, Delaware, United States (“we,” “us,” “licensor”). It takes effect when the software is supplied to you. Your signed license file states your organization, the products it covers, your seat count, and your term; if this agreement and your license file or order conflict, the license file or order governs on the point of conflict.
We grant you a non-exclusive, non-transferable license to install and use Shadow Detective for your internal business purposes, on up to the number of seats stated in your license file, for the term stated in it. The software is licensed, not sold.
Each customer runs on a signed license file issued to their organization, carrying the customer, the products entitled, the seat count, and any expiry. The software verifies the license file offline, on your machine, against our public key; no activation server or activation call is involved. Where a console can count seats, usage is counted against the file and reported honestly in the console.
Shadow Detective observes and reports: it detects AI tools in your environment and records the evidence in your Living Register. It is not a firewall, and it does not sit inline in your traffic. Blocking or enforcement, where used, is performed by separate Microsoft Intune policies (the AI-Lockout™ hardening arm), which you or your provider deploy deliberately. The software records the use of AI tools — never prompts, responses, or file content.
You may not: reverse-engineer the software except where applicable law expressly permits it despite this restriction; circumvent or attempt to circumvent license verification or seat counting; remove or alter proprietary notices; rent, lease, lend, sublicense, or redistribute the software; or use the software to provide a service to third parties except as your license file expressly allows (for example, a managed service provider’s channel license). Copies of the installer are watermarked to the license they were built for.
The Living Register and everything in it are yours. We claim no ownership of your detection records, approvals, or configuration. On a self-run install, that data stays in your environment and is not transmitted to us. Removing the software keeps the Register data by default; its disposition is yours.
The software receives signed definition updates and product updates. Its updater accepts only packages signed by us, verifies them before use, and refuses rollbacks to older definition versions. Definitions are living data: a copy cut off from updates goes stale by design.
If you send us suggestions or reports, we may use them to improve the product without obligation or payment.
Builds supplied during private testing are provided “as is,” without warranties of any kind. For paid general-availability licenses: except as expressly stated in your order, the software is provided “as is” and we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the maximum extent permitted by law.
To the maximum extent permitted by law: our total liability arising from the software is limited to the amounts you paid for the software in the twelve months before the claim, and we are not liable for indirect, incidental, special, or consequential damages, or lost profits, arising from the software or its use.
If you breach this agreement, the license ends. On termination, stop using the software and delete your copies. Sections 5, 8, 9, and 11 survive termination.
You will comply with applicable export-control and sanctions laws in your use of the software. This agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. This agreement, together with your license file and any order, is the entire agreement for the software and supersedes prior understandings about it. If any provision is held unenforceable, the rest continues in effect.
